These Terms of Service ("Terms") govern your use of the website and services provided by sigmahunovaes AS ("Company", "we", "our", or "us"), a Danish company with registration number CVR25896314, located at Istedgade 27, 1012 Copenhagen, Denmark.

sigmahunovaes provides restaurant marketing campaign performance analytics services, including but not limited to:

• Marketing campaign performance analysis and reporting
• Customer acquisition analytics and insights
• Real-time dashboard solutions for marketing data
• ROI optimisation consulting and recommendations
• Data visualisation and analytics platform access

Specific service details, deliverables, and timelines are outlined in individual service agreements or statements of work.

User Obligations

When using our services, you agree to:

• Provide accurate and complete information as required for service delivery
• Use our services only for lawful business purposes related to restaurant marketing
• Maintain the confidentiality of any login credentials or access information
• Not attempt to reverse engineer, modify, or interfere with our analytics platforms
• Respect intellectual property rights and not reproduce our proprietary methods
• Comply with all applicable laws and regulations in your use of our services
• Provide necessary consents and permissions for data analysis as required

Payment Terms

Service fees and payment terms are specified in individual service agreements. Unless otherwise agreed:

• Invoices are payable within 30 days of the invoice date
• Late payments may incur interest charges as permitted by Danish law
• Services may be suspended for overdue accounts
• All fees are exclusive of applicable taxes, which are the client's responsibility

Intellectual Property

All intellectual property rights in our analytics platforms, methodologies, reports, and proprietary tools remain the exclusive property of sigmahunovaes. This includes but is not limited to:

• Software, algorithms, and analytical models developed by sigmahunovaes
• Report templates, dashboard designs, and data visualisation formats
• Proprietary research methodologies and industry insights
• Training materials and documentation provided to clients

Clients retain ownership of their underlying business data but grant sigmahunovaes necessary rights to process and analyse such data for service delivery.

Confidentiality

We maintain strict confidentiality regarding client data and business information. Both parties agree to:

• Keep confidential information secure and not disclose it to third parties
• Use confidential information only for the purposes of service delivery
• Return or destroy confidential information upon termination of services
• Implement appropriate security measures to protect sensitive data

Data Protection and Privacy

Our processing of personal data is governed by our Privacy Policy and applicable data protection laws, including GDPR. By using our services, you acknowledge our data processing practices as described in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by law, sigmahunovaes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for services during the twelve months preceding the claim.

We provide our analytics services on an "as is" basis and make no warranties regarding the accuracy of third-party data sources or the specific business outcomes from implementing our recommendations.

Indemnification

You agree to indemnify and hold harmless sigmahunovaes from any claims, damages, or expenses arising from your breach of these terms, violation of applicable laws, or misuse of our services.

Service Availability

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to our analytics platforms or services. We may temporarily suspend services for maintenance, updates, or technical issues.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Denmark. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Danish courts, with Copenhagen as the venue.

For international clients, Danish law shall apply, but nothing in these terms limits any mandatory consumer protection rights that may apply in your jurisdiction.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to clients via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated terms.

Termination

Either party may terminate service agreements in accordance with the specific terms outlined in individual contracts. Upon termination:

• All outstanding fees become immediately due and payable
• Access to our analytics platforms will be revoked
• Confidentiality obligations continue beyond termination
• Client data will be returned or securely destroyed as agreed

We may terminate services immediately if you breach these terms or fail to pay fees when due.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and sigmahunovaes regarding the use of our services.
